On January 23, 2013, Richard Fairbanks resigned as a member of the Board of
Directors (the "Board") of SEACOR Holdings Inc. (the "Company"). Mr. Fairbanks
was a member of the Audit Committee and Nominating and Corporate Governance
Committee of the Board. The Company expresses its gratitude and appreciation to
Mr. Fairbanks for his service on the Board for almost 20 years.
