Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On January 24, 2013, the Company's board of directors adopted a resolution amending Section 7.6 of the Company's Bylaws in order to provide for mandatory indemnification of the Company's officers in certain circumstances. The Bylaws previously had provided such mandatory indemnification protection to the Company's directors, but not to the company's officers. A copy of the Bylaw amendment is filed as an exhibit hereto.
