Item 2.02. Results of Operations and Financial Condition.

On January 24, 2013, Lattice Semiconductor Corporation (the "Company") issued a press release announcing the Company's financial results for the fourth quarter ended December 29, 2012. A copy of the press release is furnished (not filed) as Exhibit 99.1 to this Current Report on Form 8-K.
