Item 2.02 Results of Operations and Financial Condition.

On January 24, 2013, Local Corporation (the "Registrant") issued a press release announcing its preliminary revenue and earnings results for the completed quarter ended December 31, 2012, and the full year 2012.

A copy of the press release is furnished as Exhibit 99.1 to this Current Report.

The Registrant made reference to non-GAAP financial information in the press release and included a disclosure of how such non-GAAP financial measure is reconciled to the comparable GAAP financial measure in the press release as well.
