On January 15, 2013, the Board of Directors of Renasant Corporation (the "Company") approved an amendment to the Restated Bylaws of the Company (the "Bylaws") to provide that the Company's annual meeting of shareholders will be held on the fourth Tuesday of April each year rather than the last Tuesday of April as previously provided in the Bylaws. A copy of the Restated Bylaws, as amended, is attached as Exhibit 3(ii) to this Current Report on Form 8-K and incorporated by reference herein.
