Item 8.01 Other Events.

On January 18, 2013, Robbins & Myers, Inc. (the "Company") issued a press release in which it provided an update on its previously announced merger with National Oilwell Varco, Inc. ("NOV"), pursuant to which NOV would acquire all of the outstanding shares of the Company for $60.00 per share in cash. A copy of the press release is furnished herewith as Exhibit 99.1 and incorporated by reference herein.
