Item 8.01. Other Events

As previously announced, TrustCo's Board of Directors selects its chairman from among the independent members of the board, with each chairman so selected to serve as a non-executive chairman for a one year term. Upon the recommendation of the board's Nominating and Corporate Governance Committee, Anthony J. Marinello, M.D., Ph.D. was elected chairman of the board effective January 1, 2013 to serve a term ending upon the earlier of December 31, 2013 or the date the board elects a successor chairman. The committee assignments, class assignment and term of office as director of Dr. Marinello have not changed. William D. Powers, the chairman for 2012, remains a director and also continues with the same committee assignments, class assignment and term of office.
