Appointment of Certain Officers
On December 3, 2012, Cliffs Natural Resources Inc. (the "Company") filed a
Current Report on Form 8-K under Item 5.02 to announce the election of Timothy
W. Sullivan as an independent director of the Board of Directors of the Company
(the "Board") effective January 14, 2013 to fill a new position authorized by
the Board. At the time of that filing, it had only been determined by the Board
that Mr. Sullivan would become a member of the Audit Committee effective July 1,
2013.
The Company is filing this Current Report on Form 8-K/A to disclose that, on
January 15, 2013, the Board appointed Mr. Sullivan also to the Compensation and
Organization Committee, effective July 1, 2013.
