Item 5.02 Departure of Directors or Certain Officers, Election of Directors, Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 11, 2013, Don Karner notified the Company that he is retiring from his positions as Chief Innovation Officer and President of ECOtality North America, a wholly-owned subsidiary of ECOtality, Inc. (the "Company"), on February 1, 2013. Mr. Karner's service as an officer of all other subsidiaries of the Company will end at that time. There were no disagreements with Mr. Karner on any matters relating to the Company's operations, policies or practices. Mr. Karner has agreed to assist with the transition of functions related to his positions with the Company as well as provide ongoing advisory services to the Company.
