Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

On January 11, 2013, India Globalization Capital, Inc. (the "Company") was notified by the NYSE MKT LLC (the "Exchange") that the Company's has resolved the continued listing deficiency with respect to Section 1003(f)(iv) of the Company guide.

The Company's continued listing was predicated on it submitting all unpaid listing fees due to the Exchange by January 10, 2013, which it did.

Item 7.01. Regulation FD Disclosure.

On January 14, 2013, the Company issued a press release announcing it has regained compliance with Section 1003(f)(iv) of the NYSE MKT's Company Guide. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
