ITEM 1.01. Entry into a Material Definitive Agreement.

On January 11, 2013, PGT, Inc., through its wholly-owned subsidiary PGT Industries, Inc. (the "Company") entered into a Supply Agreement (the "Agreement") with SAPA Extruder, Inc. ("SAPA") for the supply by SAPA and the purchase by the Company of certain extruded aluminum products produced by SAPA and sold pursuant to the Agreement. A copy of the Agreement is included herein as Exhibit 10.1.
