On January 11, 2013, ModusLink Global Solutions, Inc. (the "Registrant") reported its results of operations for its (i) third fiscal quarter ended April 30, 2012, (ii) fourth fiscal quarter and fiscal year ended July 31, 2012 and (iii) first fiscal quarter ended October 31, 2012. A copy of the press release issued by the Registrant concerning the foregoing results is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.

On January 14, 2013, the Nasdaq Listing Qualifications Staff confirmed that the Registrant has regained compliance with all applicable Nasdaq listing standards, that the Registrant's stock will continue to be listed and trade on The Nasdaq Stock Market and that the scheduled hearing before the Nasdaq Listing Qualifications Panel has been cancelled.
