On January 9, 2013, Voxx International Corporation (the "Company") issued a press release announcing its earnings for the nine months ended November 30, 2012. A copy of the release is furnished herewith as Exhibit 99.1.

Item 8.01 Other Events.

On January 10, 2013, the Company held a conference call to discuss its financial results for the nine months ended November 30, 2012. The Company has prepared a transcript of that conference call, a copy of which is annexed hereto as Exhibit 99.2.
