ITEM 8.01 OTHER EVENTS.

In connection with the lawsuit captioned Första AP-fonden v. News Corporation, et al., on January 11, 2013, News Corporation (the "Company") commenced a mailing of the Notice of Pendency of Class Action, Proposed Settlement of Class Action, Settlement Hearing, and Right to Appear (the "Notice") to holders of the Company's Class B common stock, par value $0.01 per share, in accordance with the Scheduling Order dated December 10, 2012 (the "Scheduling Order"). The Scheduling Order also requires that the Company cause a copy of the Notice to be filed with the U.S. Securities and Exchange Commission. A copy of the Notice is attached hereto as Exhibit 99.1 and incorporated herein by reference.
