On January 9, 2013, Robert A. Platt resigned as Graham Corporation's (the
"Company's") Vice President of Sales. Mr. Platt is a "named executive officer"
of the Company within the meaning of Instruction 4 to Item 5.02 of Form 8-K. As
of the filing of this Current Report on Form 8-K, the Company and Mr. Platt are
discussing the terms of a separation agreement.
