Item 2.02 Results of Operations.

On January 3, 2013, Bonanza Creek Energy, Inc. (the "Company") announced its 2013 capital program and operational results for the quarter ended December 31, 2012. A copy of the Company's press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K (the "Release"). The correct date for the IPAA Private Capital Conference referenced in the Release is January 21, 2013.
