(d) On January 4, 2013, the Board of Directors of Sigma Designs, Inc. (the "Company") appointed Eric Singer to serve as the Chairman of the Board of Directors.

(e) In furtherance of the restructuring plan and expense reduction efforts previously announced by the Company, effective December 31, 2012, the base salary compensation of each of the Company's named executive officers was reduced by ten percent of their respective current base salary level. The Company's named executive officers consist of its President and Chief Executive Officer; its Chief Financial Officer; and its Vice President, Worldwide Sales and Marketing.
