Results of Operations and Financial Condition, Other Events, Financial
On January 7, 2013, Bank of America Corporation (the "Corporation") announced,
among other things, the expected impact of certain items on its financial
results for the fourth quarter of 2012. A copy of the press release containing
the announcement (the "Press Release") is attached hereto as Exhibit 99.1 and is
incorporated by reference in this Item 2.02. The Press Release is available on
the Corporation's website.
The information provided in this Item 2.02, including Exhibit 99.1, shall be
deemed to be "filed" for purposes of Section 18 of the Securities Exchange Act
of 1934, as amended.
On January 7, 2013, the Press Release also announced the Corporation's agreement dated January 6, 2013 with the Federal National Mortgage Association (Fannie Mae) to resolve outstanding and potential repurchase and certain other claims relating to the origination, sale and delivery of substantially all residential mortgage loans originated and sold to Fannie Mae from January 1, 2000 through December 31, 2008 by entities related to Countrywide Financial Corporation and Bank of America, National Association. A copy of the Press Release is attached hereto as Exhibit 99.1 and is incorporated by reference in this Item 8.01.
