(b) Departure of Director
On January 3, 2013, David S. Utterberg notified NxStage Medical, Inc. (the
"Company") that he was resigning from the Company's Board of Directors effective
immediately. Mr. Utterberg has served on the Company's Board of Directors since
1998. Mr. Utterberg indicated his decision is not the result of any disagreement
with the Company on any matter relating to the Company's operations, policies or
practices, but rather is so that he could focus his time on personal health
matters.
