Item 5.02. Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 31, 2012, Patrick O. Kocsi, a director of ValueVision Media, Inc.
(the "Company"), resigned as a member of the Company's Board of Directors,
effective immediately. Mr. Kocsi did not resign due to any disagreement with the
Company, known to an executive officer of the Company, on any matter relating to
the Company's operations, policies or practices or otherwise.
Mr. Kocsi was one of two directors that GE Capital Equity Investments, Inc ("GE
Equity") had appointed under its contractual arrangements with the Company. GE
Equity has informed the Company that it does not have a nominee to fill the
vacancy left by Mr. Kocsi's resignation at this time.
