Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

(b) By unanimous written consent effective December 26, 2012, the Board of Directors of Mattersight Corporation ("Mattersight") determined to change its fiscal year end from the last Saturday in December to December 31, beginning with fiscal 2012. Fiscal 2012 began on January 1, 2012 and will end on December 31, 2012. Because the new fiscal year end is less than one week from the current fiscal year end, under the applicable rules of the Securities and Exchange Commission, no transition report is required. Beginning with the fourth quarter of 2012, Mattersight's fiscal quarters will end on calendar quarter ends.
