Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(a) On December 27, 2012, R.R. Donnelley & Sons Company (the "Company") announced that John R. Paloian will no longer serve as the Company's Chief Operating Officer effective as of December 31, 2012. Mr. Paloian will remain an employee of the Company until May 31, 2013.

(b) On December 27, 2012, the Company announced that Daniel L. Knotts has been appointed as Chief Operating Officer effective December 31, 2012.

Mr. Knotts, 48, has been the Company's Group President since April 2007 and had been Chief Operating Officer, Global Print Solutions since January 2007. Prior thereto, from 1986 until 2007, Mr. Knotts served in various capacities with the Company, including Group Executive Vice President, Operations, Publishing and Retail Services and President, Catalog/Retail/Magazine Solutions, RR Donnelley Print Solutions.

Mr. Knotts compensation will not change in connection with such appointment and there are no transactions involving Mr. Knotts requiring disclosure under Item 404(a) of Regulation S-K.
