Item 5.02. Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 20, 2012, the Board of Directors (the "Board") of AV Homes, Inc.
(the "Company"), pursuant to the Company's bylaws, increased the size of the
Board from six to seven members and appointed Roger A Cregg, President and Chief
Executive Officer of the Company, to fill the vacancy created by the increase,
effective December 20, 2012. Mr. Cregg will serve as a director until the
Company's next annual meeting of stockholders, and until his successor is duly
elected and qualified. The increase in the size of the Board and appointment
were based on recommendations of the Nominating and Corporate Governance
Committee of the Board.
