On December 21, 2012, FirstCity Financial Corporation (the "Company"), issued a joint press release with Värde Partners, Inc. ("Värde") announcing the execution of an Agreement and Plan of Merger, dated as of December 20, 2012 (the "Merger Agreement"), with Hotspurs Holdings LLC and Hotspurs Acquisition Corporation, each of which are affiliates of investment funds managed by Värde. A copy of the joint press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
