Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On December 20, 2012, the Board of Directors (the "Board") of SanDisk Corporation (the "Company") approved an amendment (the "Amendment") to the Company's Amended and Restated Bylaws to reduce the size of the Board from ten
(10) directors to eight (8) directors. The Amendment was effective upon approval by the Board.

The foregoing description of the Amendment is qualified in its entirety by reference to the full text of the Amended and Restated Bylaws, effective as of December 20, 2012, which is attached hereto as Exhibit 3.1 and incorporated herein by reference.
