Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 14, 2012, the Company's Board of Directors accepted the voluntary resignation of Carrie Ferman, Co-CEO of the Company, effective December 31, 2012. On the same date, the Board of Directors elected Kai-Shing Tao, Chairman and Co-CEO of the Company, as Chief Executive Officer effective December 31, 2012. Mr. Tao will also continue as Chairman of the Company.
