Year.
On December 12, 2012, the Board of Directors of Urstadt Biddle Properties Inc. (the "Company") adopted amendments to Articles I and XII of the Company's Bylaws (the "Amendments"), which became effective immediately­. The purpose of the Amendments is to provide that shares of the stock of the Corporation shall be excluded from application of the Maryland Control Share Acquisition Act. The Amended and Restated Bylaws are attached to this Current Report as Exhibit 99.1, and the amended Articles I and XII are incorporated into this Item 5.03 by this reference. The description of the Amendments is qualified in its entirety by reference to Exhibit 99.1 hereto.
