Item 8.01 Other Events.

On December 18, 2012, GT Advanced Technologies Inc. issued a press release announcing its guidance range for the fourth calendar quarter ending December 31, 2012, the calendar year ending December 31, 2012 and the preliminary outlook for the fiscal year ending December 31, 2013 with respect to certain financial measures. A copy of the press release is attached hereto as Exhibit 99.1.
