On December 13, 2012, the Company held its virtual annual meeting of shareholders. Set forth below for each matter voted upon, are the number of votes cast for or against, the number of abstentions and, as applicable, the number of broker non-votes.

1. Election of Two Trustees. Mr. Robert L. Levy and Mr. Robert L. Loverd were elected as Class I trustees for three-year terms expiring in 2015 or their earlier removal or resignation and until his successor is elected and qualified. In addition, continuing to serve their current terms are the following trustees: Jerome Y. Halperin, Robert A. Meister and Thomas W. White. The number of votes cast for, against, abstaining and broker non-votes, with respect to the election of Mr. Levy and Mr. Loverd, were as follows:
