ITEM 7.01 REGULATION FD DISCLOSURE
On December 18, 2012, Ashford Hospitality Trust, Inc. (the "Company") announced that the Company, along with its joint venture partner, Prudential Real Estate Investors, has refinanced its $63.0 million loan secured by the Hilton Boston Back Bay Hotel in Boston, Massachusetts with a $103.0 million loan with a five-year term.

The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
