Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As of December 17, 2012, the duties and responsibilities of Bronwyn Syiek,
President of QuinStreet, Inc. (the "Company"), have changed. The Company's
client verticals and engineering organization will no longer report to Ms. Syiek
and will instead report to the Company's Chief Executive Officer, Douglas
Valenti. Ms. Syiek will focus on various key initiatives. She continues to serve
as President, reporting to Mr. Valenti, and as a member of the Company's Board
of Directors.
