Item 8.01. Other Events.

As previously reported, on November 26, 2012, Robert P. Goodman, the Chairman of the Board of Directors of BroadSoft, Inc. (the "Company"), advised the Company of his intent to resign from the Board of Directors (the "Board"), effective as of December 31, 2012.

On December 17, 2012, the Company issued a press release announcing John (Jay) D. Markley, Jr., a current member of the Board, has been elected as the new Chairman of the Board, effective as of January 1, 2013. A copy of the Company's press release is attached to this report as Exhibit 99.1 and incorporated herein by reference.
