Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective December 11, 2012, Thomas C. Hofmeister, the Vice President - Finance and Chief Accounting Officer of the Registrant, has accepted a new position as Vice President Finance. In his new role Mr. Hofmeister will be responsible for and oversee two key projects; certain finance and accounting aspects of the Registrant's previously announced development and implementation of a comprehensive electronic practice management system, and the establishment of an internal purchasing portal between the Registrant's SPS distribution business and its Hanger Clinic business. George E. McHenry, the Registrant's Executive Vice President and Chief Financial Officer since 2001, has assumed the role of the Registrant's principal accounting officer.
