Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

On December 6, 2012, Cereplast, Inc. (the "Company") notified the NASDAQ Stock Market that the Company had determined to voluntarily withdraw the listing of the Company's stock on NASDAQ. The Company will file a Form 25 with the Securities and Exchange Commission and commence trading on the OTCQB on December 17, 2012.

On December 7, 2012, the Company issued a press release with respect to the foregoing, a copy of which is attached hereto as Exhibit 99.1.
