Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As previously disclosed in the Current Report on Form 8-K filed by Atlas Air
Worldwide Holdings, Inc. (the "Company") on July 24, 2012, the Company's Board
of Directors (the "Board") unanimously elected General Duncan J. McNabb USAF
(Ret.) as a director. General McNabb was not appointed to any committee of the
Board at that time. On December 12, 2012, General McNabb was appointed to serve
on the Company's Audit Committee.
