(b) On December 7, 2012, each of Gilbert F. Bach and Michael J. Davies notified WebMediaBrands Inc. that he is resigning as a member of WebMediaBrands's Board of Directors effective December 31, 2012. Neither director's resignation was related to any disagreement with WebMediaBrands on any matter relating to its operations, policies or practices, but rather was due to personal reasons.
