Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(d) On December 7, 2012, the Board of Directors of R.R. Donnelley & Sons Company (the "Company") appointed Richard Palmer to the Board of Directors effective January 9, 2013, to serve until the next annual election of directors. In addition, the Board of Directors appointed Mr. Palmer to the Audit Committee.

The compensation of Mr. Palmer will be consistent with that provided to all of the Company's non-employee directors, as described in the Company's most recent proxy statement filed with the Securities and Exchange Commission on April 11, 2012.

There is no arrangement or understanding under which Mr. Palmer was appointed other than as described in this Item 5.02(d). There are no transactions involving Mr. Palmer requiring disclosure under Item 404(a) of Regulation S-K.
