Item 8.01 Departure of Other Events

On December 12, 2012, IPG Photonics Corporation ("IPG") announced that its Board of Directors declared a special dividend of $0.65 per share of common stock, payable to all shareholders of record at the close of business on December 21, 2012, and payable on or about December 28, 2012. A copy of IPG's press release announcing the special dividend is attached hereto as Exhibit 99.1 and incorporated herein by reference.
