Item 8.01 Other Events

On December 11, 2012, the registrant's Board of Directors set April 23, 2013, as the date for the 2013 Annual Meeting of Shareholders. This date is approximately one month earlier than in past years. Shareholders intending to present proposals or director nominations at our 2013 Annual Meeting, but not for inclusion in our proxy materials, must provide written notice and the proper materials to our Corporate Secretary by January 23, 2013, in accordance with Article I, Section 9 of our Bylaws.
