Item 8.01 Other Events.

On December 10, 2012, Perry Ellis International, Inc. (the "Company") issued a press release announcing a special cash dividend of $1.00 per share, to be paid to the Company's shareholders of record as of the close of business on December 21, 2012. The special cash dividend will be payable on December 28, 2012. The aggregate amount to be paid in connection with this special cash dividend will be approximately $16 million.
