(b) On December 10, 2012, David E. Roberts, Jr., the Corporation's executive
vice president and chief operating officer, resigned from the Corporation to
pursue other interests. Mr. Roberts' resignation is effective December 14, 2012.
A copy of the press release of the Corporation dated December 10, 2012,
announcing the resignation of Mr. Roberts is attached as Exhibit 99.1.
