Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)On December 10, 2012, Dave Bell resigned as President and Chief Executive Officer, effective immediately.

(c)On December 10, 2012, James Diller has been appointed as interim President and Chief Executive Officer.

Intersil also announced that Donald Macleod has been named Chairman of the Board, effective immediately. Gary Gist, former Chairman of the Board, has stepped down from that position and will remain a member of the Board. On December 10, 2012, Intersil issued a press release regarding these announcements. A copy of that press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
