Item 8.01 Other Events

On December 7, 2012, Micrel, Incorporated (the "Company") issued a press release announcing its Board of Directors has declared an accelerated cash dividend of $0.0425 per share of common stock which will be payable on December 27, 2012, to shareholders of record as of December 18, 2012. The Company also announced that this accelerated dividend is intended by the Board to be in lieu of the quarterly dividend the Company would have otherwise announced with its quarterly financial results for the fourth quarter of 2012, and that would have been paid in the first quarter of 2013.

A copy of the press release dated December 7, 2012, announcing this accelerated dividend, is attached hereto as Exhibit 99.1 and is incorporated herein by reference in its entirety.
