Item 8.01 Other Events.
On December 6, 2012, Amil Participações S.A. ("Amil"), a majority-owned
subsidiary of UnitedHealth Group Incorporated (the "Company"), disclosed,
pursuant to Brazilian law, that an affiliate of the Company purchased an
additional 17,779,700 Amil shares in open market transactions on the Sao Paulo
stock exchange (BM&FBOVESPA) and 8,283,405 newly-issued Amil shares in a private
transaction with option holders under Amil's employee stock option plan. These
purchases took place in Brazil and bring the stake in Amil attributable to the
Company as of December 5, 2012 to approximately 64.5% of Amil's outstanding
shares.
