This Current Report on Form 8-K/A supplements Item 5.02 of the Form 8-K filed by
National Bankshares, Inc. (the "Company") with the Securities and Exchange
Commission on November 14, 2012 (the "Original Filing").
In the Original Filing, the Company disclosed that its Board of Directors
elected John E. Dooley to the Board to complete the unexpired term resulting
from the death of Jack Wayne Bowling. The Original Filing contained all required
disclosures pursuant to Item 5.02 of Form 8-K. The Company has issued a press
release about Mr. Dooley's election which contains his biographical information.
