On December 4, 2012, the Compensation Committee, or Committee, of the
registrant's Board of Directors and the full Board of Directors held regularly
scheduled meetings at which the Committee awarded, and in the case of Mr.
Bolton, CEO, the Board of Directors approved, 2013 base salaries as follows:

H. Eric Bolton, Jr., CEO $ 525,000
Albert M. Campbell, III, EVP and CFO $ 325,000
Thomas L. Grimes, Jr., EVP and COO $ 325,000
