On December 3, 2012, Daniel Elsztain, a Class I trustee and member of the
Acquisition Committee of the Board of Trustees (the "Board") of Hersha
Hospitality Trust (the "Company"), resigned from the Board. His resignation was
not the result of any disagreement with the Company on any matter relating to
the operations, policies or practices of the Company.
