ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On December 6, 2012, Bio-Reference Laboratories, Inc. (the "Company") announced its financial results for the quarter and year ended October 31, 2012. A copy of the Company's earnings release is attached hereto as Exhibit 99.1.
