Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.
On December 5, 2012, Mr. Howard Mann provided written notice to Bancorp of New
Jersey, Inc., the "Company," of his resignation from the Boards of Directors of
the Company and its wholly owned subsidiary, Bank of New Jersey, the "Bank,"
which resignations were effective December 5, 2012. The Company's Board of
Directors thanks Mr. Mann for his service to the Company and the Bank.
