In connection with the offering described in Item 8.01, Magnum Hunter Resources Corporation (the "Company") announced in a press release that it has priced a "best efforts" public offering of Depositary Shares (as defined below). On December 4, 2012, the Company priced a "best efforts" underwritten public offering of 1,000,000 depositary shares ("Depositary Shares"), each representing a 1/1,000th interest in a share of the Company's 8% Series E Cumulative Convertible Preferred Stock (with a liquidation preference of $25,000 per share, which is equivalent to $25 per Depositary Share) at a public offering price of $23.50 per Depositary Share, before underwriters' commissions and offering expenses. The Company anticipates that the offering will close on December 12, 2012. The Company anticipates that the record date for the initial dividend payment for the Depositary Shares issued in this offering will be January 15, 2013 and that the initial dividend payment will be made to holders of record as of that date on January 31, 2013.
